The Annual General Meeting of the Tawharanui Open Sanctuary Society Inc. is to be held at 1pm on Sunday, 1st September 2013 at the Woolshed, Tawharanui Regional Park.
The Agenda for the AGM is as follows:
1. Record those present and any apologies
2. Confirmation of Minutes of previous AGM
6. Election of Officers and Committee
7. Amendment to the Constitution
8. Membership Subscription 2013/2014
9. Report by Open Sanctuary Co-ordinator
The following Motion will be proposed:
Amendment to the Constitution
Motion to be put to AGM that the Constitution of the Society be amended pursuant to clause 8 to limit the number of Committee members to five so that together with the four officers (Chairperson, Deputy Chairperson, Secretary and Treasurer) the maximum number comprising the Committee shall be nine, by rescinding existing clause 6 b) and adding a new clause 6 b).
Motion to be put will be:
“That clause 6 b) of the Constitution be rescinded and a new clause 6 b) be added, namely:
6 b) A Committee consisting of the foregoing officers and at least two other members but no more than five other members or six if the roles of Secretary and Treasurer are performed by the same person, shall manage the general affairs of the Society. The officers of the Society and the other members shall be elected annually at the Annual General Meeting of the Society and, by rotation, half of the previous year’s committee shall stand down, commencing with the longest serving member, but each may stand and shall be eligible for re-election. Votes shall be cast in such manner as the chair person at the Annual General Meeting shall determine. The Secretary and one other member (who is not a nominee) designated by the chairperson of the Annual General Meeting shall act as scrutineers for the counting of the votes and destruction of any voting papers. In the event of any vote being tied, a tie shall be resolved by the incoming Committee."
